Website Terms and Conditions of Use

Welcome to the website of Soultenders, Inc. and Soultenders Psychological Services, Inc. (collectively, “Soultenders”).  This site is provided as a service of Soultenders.

  1. Agreement. By using the Soultenders website, you agree to these Terms and Conditions of Use (“Terms of Use”). These Terms of Use apply to any site or application (as well as any features, ‎widgets, ‎plug-ins, content, downloads, or other web-based services) that are offered by Soultenders and that post a link to these Terms of Use (collectively, the “Site”). Soultenders reserves the right to change these Terms of Use from time to time. The current Terms of Use will be posted on the Site, and you may view it at any time through the link at the bottom of any public page of the Site. Use of the Site constitutes the user’s continuing agreement to be bound by these Terms of Use as they are amended from time to time.  Information concerning the nature of the personal information we collect through the Site and the manner in which we use and protect that information are set forth in the Privacy Policy.
  2. Ability to Accept Terms. You affirm that you are the age of majority in your jurisdiction and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. The Site is not intended for children under the age of eighteen (18) and has no intention of collecting any personal data from individual users under 13 years of age without express parental consent. If you are under 18 years of age, then please exit now and do not use this Site.
  3. Disclaimer. The materials, Site content and services offered on the Site are provided “AS IS” and without warranties or conditions of any kind. To the fullest extent permissible pursuant to applicable law, Soultenders disclaims all warranties, conditions and other terms, express, implied, statutory or otherwise, including, but not limited to, implied warranties of non-infringement, merchantability and fitness for a particular purpose. Soultenders does not warrant that the use of the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server(s) that make it available or any advertised or hyperlinked site are free of viruses or other harmful components or that the Site, server(s), or advertised or linked sites will be accessible at all times. Soultenders does not warrant or make any representations, warranties or covenants regarding the use of the Site or any information contained therein, including Site content, with respect to correctness, accuracy, reliability, graphics, links or otherwise. To the extent that applicable law may not allow the exclusion of implied warranties or conditions, the above exclusions may not apply to you. In the event that a court finds the above disclaimer of direct damages to be unenforceable, in no event will Soultenders’ total aggregate liability for all damages, including without limitation all claims, losses, liabilities, costs and expenses (including legal fees and expenses) to you related to the Site or Site content, or these Terms of Use, exceed the lesser of (a) the direct damages suffered by you, or (b) $100. Documents, information, graphics and other materials appearing on the Site may include technical inaccuracies, miscalculations, typographical errors, and out-of-date information. Use of such documents, information, graphics or other materials is at your own risk. Without limitation to the foregoing, certain portions of the Site (for example, information about therapists provided through the “Find a Therapist” functionality may consist of text, information, images, artwork, data, audio, photographs, files or other content provided by third parties and Soultenders is not responsible for the accuracy, usefulness, safety or intellectual property rights of or relating to such third party submissions.  
  4. Limitation of Liability. In no event shall Soultenders or its officers, directors, members, staff, or agents, be liable for any damages of any kind, including, without limitation, any special, incidental, indirect, or consequential damages, whether or not advised of the possibility of such damages, and on any theory of liability whatsoever, arising out of, or in connection with, the use or performance of the Site or any content appearing on the Site.
  5. Links. Links or pointers connecting the Site with other Internet sites are provided as a courtesy only and do not imply, directly or indirectly, the endorsement, sponsorship, or approval by Soultenders of the linked site, the organization or individual operating the site, or any product, service, individual, or organization referenced in the site.  In general, any website that has an address (or URL) that does not contain “soultenders.com” is a linked website. Linked sites are not under the control of Soultenders, and Soultenders is not responsible for the content of any linked site, any links contained within a linked site, any changes or updates to such sites, or the compliance with applicable laws of such linked sites.
  6. Intellectual Property. The entire contents and design of the Site, including all trademarks, logos, trade names, documents, databases, graphic representations, and other information, are the property of Soultenders, or used by Soultenders with permission, and are protected under U.S. and international copyright and trademark laws, whether or not a notice of copyright, trademark, or other proprietary rights appears on the screen displaying the information.  
  7. User Suggestions. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information provided by you to us through the Site are not confidential and you grant us a worldwide, royalty-free license to distribute, publish, modify, edit or otherwise use your submissions. Soultenders shall be entitled to the unrestricted use and dissemination of these submissions for any purpose, commercial or otherwise without any acknowledgement of or compensation to you.
  8. Digital Millennium Copyright Act. If you are a copyright owner or an agent thereof and believe that any Site content infringes upon your copyright, you may request that the allegedly ‎infringing material in accordance with our Digital Millennium Copyright Act‎ (DMCA) Procedures for Requesting the Removal of Infringing Material (our “DMCA Procedures”).  Only notices of alleged copyright infringement should go to the Copyright Agent in our; any other feedback, comments, requests for technical support, and other communications should be directed to Soultenders headquarters at info@soultenders.com.  You acknowledge that if you fail to comply with all of the notice requirements of, your notice may not be valid. In accordance with the Digital Millennium Copyright Act and other applicable law, Soultenders will, in appropriate circumstances, terminate access, at Soultenders’ sole discretion, of any member or user that Soultenders finds to be a repeat infringer of others copyrights. Soultenders may also, in its sole discretion, limit or fully terminate access to the Site of any user infringing the intellectual property rights of others, regardless of whether such user is repeat offender or not.
  9. Choice of Law and Forum; Jury Trial Waiver. This Agreement is entered into and performed in the State of California, United States of America, and is governed by the laws of California, exclusive of its choice of law or conflicts of law provisions.  In any claim or action directly or indirectly arising under this Agreement or related to the Site, each party irrevocably submits to the exclusive personal jurisdiction of the state courts or federal courts located in Los Angeles County, California, and each party waives any jurisdictional venue or inconvenient forum objections to such court.  SOULTENDERS AND YOU WAIVE ANY RIGHT TO A TRIAL BY A JURY OF ANY ‎DISPUTE BETWEEN THE PARTIES ARISING UNDER OR RELATED TO THESE ‎TERMS OF SERVICE. ‎
  10. Geographic Limitations. Soultenders controls and operates the Site in the United States. If you use our Site from other locations, you are doing so on your own initiative and are responsible for compliance with applicable local laws regarding your online conduct and acceptable content, if and to the extent local laws apply. The Site may describe products and services that are available only in certain jurisdictions (or only parts of them). Soultenders reserves the right to limit the availability of our services and/or the provision of any Site content, program, product, service, or other feature described or available on our services to any person, entity, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any Site content, program, product, service, or other feature that Soultenders provides.   12. Complete Agreement. If any provision or provisions of this Agreement are held by a court or other tribunal of competent jurisdiction not to be enforceable, then such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.  These Terms of Use supersede any other statements included elsewhere on the Site, which are inconsistent or conflicting with these Terms of Use, provided that to the extent that you agree to any click-through terms or agreement set forth on the Site or an affiliates Site offered by Soultenders, such click-through terms or agreement shall govern.  Soultenders may assign, novate or subcontract any or all of its rights and obligations under these Terms of Use at any time.
